1) About GiftHubHQ and Acceptance of Terms

GiftHubHQ (“GiftHubHQ”, “we”, “our”, “us”) is a curated online gifts marketplace fully owned and managed by Bridgegate Creative Hub Ltd. All legal, administrative, and financial responsibilities are borne by the parent company. By accessing or using www.gifthubhq.com or our social channels and services (collectively, the “Platform”), you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use the Platform.

2) Our Role as a Marketplace

GiftHubHQ connects buyers with independent third-party vendors (“Vendors”). Unless expressly stated as “Sold by GiftHubHQ,” products are sold and fulfilled by the Vendor. We provide discovery, ordering, payment facilitation, and support. Vendor is responsible for product quality, authenticity, fulfillment, and compliance with law. GiftHubHQ may act as a limited payment collection agent for Vendors solely for the purpose of accepting payments from buyers.

3) Eligibility & Accounts

• You must be 18+ and capable of entering a binding contract.
• You are responsible for maintaining the confidentiality of your login and restricting access to your account.
• Information you provide must be accurate and promptly updated.

4) Orders, Pricing & Availability

• Prices, stock, and promotions may change without notice.
• An order is accepted when you receive our order confirmation. We may cancel or refuse orders for reasons including suspected fraud, stock issues, or pricing errors.
• Taxes, duties, fees, and shipping charges (where applicable) are displayed at checkout.

5) Payment

• We use approved payment processors. We do not store raw card data.
• By submitting a payment, you authorize charges for the order, shipping, taxes, and applicable fees.

6) Shipping & Delivery

• Delivery timelines are estimates and may vary by Vendor, product type, and destination.
• Risk of loss passes upon delivery to your address or collection point.
• Please review the product page for any special delivery terms.

7) Returns & Refunds

• Our general policy is available below under Return & Refund Policy.
• Some categories (e.g., customized, perishable, hygiene products) are non-returnable unless defective or misdescribed.
• For Vendor-fulfilled items, GiftHubHQ coordinates the request but the Vendor is responsible for resolution consistent with our policy.

8) Reviews & User Content

You may post reviews and content that are truthful, lawful, and non-infringing. You grant GiftHubHQ a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your submitted content for Platform purposes. We may remove content that violates policies or law.

9) Intellectual Property

All Platform content (design, text, graphics, logos, images, code) is owned by or licensed to GiftHubHQ or its licensors and protected by applicable IP laws. You may not copy, modify, distribute, or create derivative works except as permitted by law or with prior written consent.

10) Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes, fraud, or to violate others’ rights.
• Upload malware, attempt to bypass security, scrape, or reverse engineer.
• Infringe IP rights or post misleading/defamatory content.
  We may suspend or terminate accounts for violations.

11) Vendor Terms (Summary)

Vendors agree to:

• Provide authentic, lawful, and accurately described products.
• Meet service levels for fulfillment, shipping, returns, and customer support.
• Comply with Prohibited Items (e.g., counterfeit goods, weapons, illegal substances, explicit adult content, unsafe products).
• Honor warranties and applicable consumer protections.
• Pay commissions/fees per category and accept payout cycles per the Vendor Agreement and dashboard.
• Observe data protection obligations when handling buyer data received via orders.
  GiftHubHQ may delist items or suspend Vendors for non-compliance (including immediate delist for severe or illegal violations).

12) Third-Party Links & Services

The Platform may contain links to third-party sites/services. We are not responsible for their content, policies, or practices.

13) Disclaimers

Except where prohibited by law, the Platform and products are provided “as is” and “as available.” We disclaim all warranties (express or implied) including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

14) Limitation of Liability

To the fullest extent permitted by law, GiftHubHQ, Bridgegate Creative Hub Ltd., and their officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data. Our aggregate liability related to your use of the Platform shall not exceed the total amounts paid by you in the three (3) months preceding the claim.

15) Indemnity

You agree to defend, indemnify, and hold harmless GiftHubHQ and Bridgegate Creative Hub Ltd. from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your: (a) use of the Platform; (b) breach of these Terms or law; (c) violation of third-party rights.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved first through good-faith negotiations; failing that, by confidential mediation/arbitration in Lagos, Nigeria (e.g., Lagos Multi-Door Courthouse or another agreed ADR body), conducted in English. You agree to the exclusive jurisdiction of Lagos courts for any permitted court proceedings.

17) Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting with a revised “Last updated” date. Continued use constitutes acceptance.
